These Terms of Service ("Terms") govern your access to and use of EdgeSEO (the "Service"), operated by Zhenhe AI LLC (Wyoming, USA) and 振禾有限公司 (Zhenhe Co., Ltd., Taiwan R.O.C., Business Registration No. 83446730), collectively the "Operator". By accessing or using the Service, you agree to be bound by these Terms.

本服務條款（下稱「條款」）規範您對 EdgeSEO（下稱「本服務」）的存取與使用，本服務由 Zhenhe AI LLC（美國懷俄明州）與振禾有限公司（中華民國，統一編號 83446730）（合稱「營運方」）共同營運。一旦存取或使用本服務，即視為您同意受本條款約束。

1. Service Description / 服務描述

EdgeSEO is an AI-powered SEO optimization platform running on the Cloudflare edge network. The Service helps website owners analyze their search performance via Google Search Console and Google Analytics, generate AI-suggested SEO improvements, and (in higher-tier plans) automatically apply meta-tag optimizations at the edge layer without modifying source code. The Service depends on third-party APIs (Google, Cloudflare, AI providers) and is provided "as is" with no guarantee of permanent API availability.

EdgeSEO 是一款運行於 Cloudflare 邊緣網路的 AI 驅動 SEO 優化平台。本服務協助網站所有者透過 Google Search Console 與 Google Analytics 分析搜尋表現、產出 AI 建議的 SEO 改善方案，並（於較高方案）在邊緣層自動套用 Meta 標籤優化而不需修改原始碼。本服務依賴第三方 API（Google、Cloudflare、AI 服務商），按「現狀」提供，不保證 API 永久可用。

2. Eligibility / 使用資格

You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

您必須年滿 18 歲且具備訂立有約束力契約之法律能力。若您代表組織使用本服務，即表示您具有約束該組織遵守本條款之權限。

3. Account & Authentication / 帳號與身分驗證

Authentication is handled via Google OAuth (NextAuth / Auth.js v5). You are responsible for safeguarding your Google account credentials and for any activities under your account. Notify us immediately of unauthorized access.

身分驗證透過 Google OAuth（NextAuth / Auth.js v5）處理。您有責任保護您的 Google 帳號憑證以及其上所有活動。如有未授權存取，請立即通知我們。

4. User Obligations / 使用者義務

When using the Service, you agree NOT to:

• Connect Google properties you do not own or have explicit authorization to access / 連接您不擁有或未經明確授權的 Google 資源
• Use the Service to scrape, mine, or extract data from Google APIs in violation of Google's API Terms of Service / 以違反 Google API Terms 的方式抓取、採集或擷取資料
• Reverse-engineer, decompile, or attempt to extract the source code of the Service / 對本服務逆向工程、反編譯或試圖擷取原始碼
• Circumvent rate limits, quotas, or access controls / 規避頻率限制、配額或存取控制
• Use the Service for spam, fraud, malicious SEO (e.g., cloaking, doorway pages, link schemes), or any illegal activity / 將本服務用於垃圾訊息、詐欺、惡意 SEO（如偽裝、橋頁、連結作弊）或任何非法活動
• Resell, sublicense, or redistribute the Service without our written consent (Agency Pro plan permits white-label use under separate terms) / 未經我方書面同意，轉售、再授權或再散布本服務（Agency Pro 方案依個別條款允許白牌使用）

Violations may result in immediate suspension or termination without refund, and we may report illegal activity to authorities.

違反規定可能導致立即暫停或終止帳號且不予退款，並可能將非法活動通報主管機關。

5. Subscription Plans / 訂閱方案

EdgeSEO offers the following plans (subject to change with notice):

Founding members receive lifetime price lock at the Starter feature tier, plus 8 dedicated benefits (12-week MVP guarantee, 16-week SHOPLINE platform completion, Founder Slack group, beta priority access, refund guarantee, roadmap voting rights, exclusive 1:1 onboarding, transferable seat).

Founding 會員享 Starter 功能階終身鎖價，外加 8 項專屬權益（12 週 MVP 保證、16 週 SHOPLINE 完整承諾、Founder Slack 群、Beta 優先、退款保證、路線圖投票、專屬 1:1 onboarding、名額可轉讓）。

6. Payment & Billing / 付款與計費

• Taiwan customers are routed by default to PayUni (台幣付款); international customers are routed by default to Stripe (USD).
  台灣使用者預設導向 PayUni（台幣付款）；國際使用者預設導向 Stripe（美元）。
• Subscriptions renew automatically at the end of each billing cycle. You may cancel at any time via your dashboard; access continues through the end of the paid period.
  訂閱將於每計費週期結束時自動續訂。您可隨時透過儀表板取消，存取權持續至已付期間結束。
• Price changes will be communicated at least 30 days in advance via email and dashboard notice.
  價格調整將至少在 30 天前透過 email 與儀表板通知。
• Failed payments trigger a grace period (7 days) followed by automatic plan downgrade to Free tier with feature lockout.
  扣款失敗將觸發 7 天寬限期，期滿後自動降級至 Free 並鎖定付費功能。
• Taiwan invoices are issued via PayUni / 統一發票 with the invoice details you provide at checkout (personal carrier, mobile carrier, donation, or company taxId).
  台灣發票透過 PayUni / 統一發票開立，依您結帳時填寫的發票資訊（個人載具、手機載具、捐贈或公司統編）。

7. Refunds / 退款政策

• Founding 12-Week MVP Guarantee: If we fail to deliver the agreed core features (Sprint 1-3 deliverables) within 12 weeks of your purchase, you receive an automatic full refund.
  Founding 12 週 MVP 保證：若我們未能在您購買後 12 週內交付約定的核心功能（Sprint 1-3 交付物），將自動全額退款。
• Founding 16-Week SHOPLINE Platform Commitment: SHOPLINE / bvshop integration delivered within 16 weeks; otherwise refund or extension at your choice.
  Founding 16 週 SHOPLINE 完整承諾：SHOPLINE / bvshop 整合於 16 週內交付，否則由您選擇退款或展期。
• 14-Day Money-Back (post-delivery): For Founding and any subscription plan, you may request a full refund within 14 days of first paid period if unsatisfied.
  交付後 14 天無條件退款：Founding 與任何訂閱方案，於首期付款後 14 天內若不滿意，可申請全額退款。
• After 14 days: subscriptions are not refundable for the current period but you may cancel future renewals at any time. Founding seats are not refundable after 14 days but are transferable to another individual or organization at no fee.
  14 天後：訂閱當期不退款，但可隨時取消未來續訂。Founding 名額 14 天後不退款，但可免費轉讓予其他個人或組織。
• Discretionary refunds: We may, at our sole discretion, issue refunds for service outages, billing errors, or other exceptional circumstances. Contact ace@zhenheai.com.

8. Intellectual Property / 智慧財產權

The Service — including its software, interface, branding, and AI prompt engineering — is owned by the Operator. You retain copyright over your own content (website content, configurations) and over the data fetched from your authorized Google properties. By using the Service you grant us a limited, revocable license to process such data solely to provide the Service.

本服務（包括軟體、介面、品牌、AI Prompt 工程）為營運方所有。您保有對自有內容（網站內容、設定）及從您授權的 Google 資源所擷取資料的版權。使用本服務即授予我們有限、可撤銷之授權，處理該等資料以提供服務。

9. Disclaimers and Limitation of Liability / 免責與責任限制

The Service is provided "as is" and "as available". To the maximum extent permitted by law, the Operator disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We are not liable for interruptions or data unavailability caused by Google API changes, Cloudflare outages, or any third-party service. SEO outcomes (rankings, traffic, conversions) depend on many factors outside our control and are not guaranteed.

Our aggregate liability for any claim arising out of or related to the Service shall not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) USD $100.

本服務按「現狀」與「可用狀態」提供。在法律允許之最大範圍內，營運方不提供任何明示或暗示之擔保（包含商業適售性與特定目的之適用性）。我們不對因 Google API 變動、Cloudflare 故障或任何第三方服務造成的中斷或資料不可用負責。SEO 成效（排名、流量、轉換率）受多種我們無法控制的因素影響，不予保證。我們對任何索賠之累計責任不超過（a）索賠前 12 個月內您支付給我們的費用，或（b）美金 100 元，二者中較高者。

10. Indemnification / 賠償

You agree to indemnify and hold the Operator harmless from claims arising out of (a) your violation of these Terms, (b) your violation of Google's API Terms, (c) your unauthorized use of third-party properties, or (d) your violation of applicable law.

您同意對因下列情事所生之索賠對營運方負賠償並使其免受損害：（a）您違反本條款；（b）您違反 Google API Terms；（c）您未經授權使用第三方資源；（d）您違反適用法律。

11. Termination / 終止

You may terminate your account at any time via your dashboard. We may suspend or terminate your access for violations of these Terms or for non-payment. On termination, we delete your data per our Data Deletion Instructions and Privacy Policy.

您可隨時透過儀表板終止帳號。若違反本條款或欠款未付，我們可暫停或終止您的存取權限。終止後，我們將依資料刪除說明與隱私權政策刪除您的資料。

12. Changes to Terms / 條款修改

We may update these Terms. Material changes will be notified by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

我們可能更新本條款。重大變更將至少在生效前 30 天透過 email 通知。生效日後繼續使用即視為接受。

13. Governing Law and Dispute Resolution / 準據法與爭議解決

These Terms are governed by the laws of the Republic of China (Taiwan). Any dispute arising out of or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the Taipei District Court (台北地方法院) in the first instance.

本條款依中華民國法律解釋與適用。因本條款或本服務所生之任何爭議，應以台灣台北地方法院為第一審專屬管轄法院。
